I. Regulatory Basis and Common License Types

The Money Service Operator (MSO) license is issued by the Hong Kong Customs and Excise Department under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615 of the Laws of Hong Kong). Any person operating a money service business in Hong Kong must obtain a license from the Commissioner of Customs and Excise; failure to do so constitutes an offense.

Money services cover the following two types of businesses:

Currency exchange services operated as a business in Hong Kong, excluding exchange services incidental to a principal business (e.g., accepting foreign currency in retail transactions, or exchange services provided by hotels for the convenience of guests).

Remittance Service

Operating as a business in Hong Kong that provides one or more of the following transactions: sending money to places outside Hong Kong; receiving money from places outside Hong Kong; arranging for the receipt of money outside Hong Kong.

Applicants may apply for a currency exchange license only, a remittance license only, or both simultaneously.

II. Purpose of the License

The primary purposes of holding an MSO license include:

  1. Legal operation of currency exchange business: Including over-the-counter foreign exchange services at physical money changers.
  2. Legal operation of remittance business: Covering personal cross-border remittances, corporate payment agency services, etc.
  3. Conducting cross-border payment services: Including electronic payment platforms, cross-border payment platforms, foreign card acquiring and settlement, etc.
  4. Establishing compliant cross-border fund channels: Licensed platforms can provide verifiable compliance credentials for corporate overseas partners, banks, and regulatory authorities.

Operating a money service business without a license is an offense; upon conviction on indictment, a fine of HKD 1,000,000 and imprisonment for 2 years may be imposed.

III. Common Business Types (Online and Offline)

The MSO license itself does not differentiate between online or offline business scopes, but the application conditions and compliance requirements will vary based on the business model.

Key Considerations:

  • Both online and offline businesses are subject to the same licensing requirements.
  • Online businesses have additional compliance requirements for electronic payment systems (e.g., automated anti-money laundering systems, customer electronic identity verification, etc.).
  • Even for purely online operations, a physical office address in Hong Kong is mandatory; virtual offices are not permitted.

IV. Personnel Requirements

Applying for an MSO license involves the following key personnel requirements:

1. Fit and Proper Test

Directors, ultimate owners, and partners of the company must pass a rigorous background check by the Hong Kong Customs and Excise Department:

  • No record of bankruptcy or undischarged bankruptcy orders.
  • No serious criminal convictions (especially involving fraud, corruption, etc.).
  • No history of penalties imposed by other regulatory bodies.
  • Sufficient integrity and financial soundness.

The Customs and Excise Department will conduct background checks with the Police Force, Official Receiver's Office, etc.

2. Compliance Officer (CO)

The company must appoint a Compliance Officer responsible for overseeing all activities related to the prevention and detection of money laundering and terrorist financing:

  • Unless the sole proprietor, partner, director, or ultimate owner concurrently holds the position, the Compliance Officer must be an employee engaged by the applicant under the Employment Ordinance.
  • Generally requires 2 or more years of relevant work experience.
  • Must ordinarily reside in Hong Kong to supervise daily compliance work.

3. Money Laundering Reporting Officer (MLRO)

The company must appoint a Money Laundering Reporting Officer responsible for reporting suspicious transactions. The Compliance Officer and MLRO can be the same person, provided that individual possesses the relevant knowledge and capability.

4. Director

At least one director must be designated, who bears personal legal responsibility for the licensed institution's anti-money laundering compliance.

5. Director Examination

The directors of the applicant Hong Kong company must attend a qualification examination (written test) conducted by the Customs and Excise Department in Hong Kong. A maximum of three directors can be registered (no Hong Kong residency requirement), with at least one required to pass the examination.

V. Application Process and Timeline

Stage 2: Submission

Submit the application form and relevant documents online via the Hong Kong Customs Money Service Operator System (MSOS); applications can be made in writing or electronically.

Stage 3: Fee Payment

Pay the license and fit-and-proper person determination fees upon receiving the "Acknowledgement of Receipt of Application".

Stage 4: Interview and Review

Attend an interview at the Customs office with original documents upon receiving the meeting notice; Customs may conduct on-site inspections.

Stage 5: Approval

Upon receiving an in-principle approval, the applicant must fulfill all conditions within 6 months to be granted the full license.

Application Timeline:

  • With complete documentation and a robust compliance system, the entire approval cycle is approximately 4 to 7 months.
  • Typically takes 9 to 12 months after submitting a complete application.
  • Since the implementation of the electronic submission system, if the initial submission is complete with no need for supplementary documents, the review stage can be completed in approximately 45 working days.
  • The license is valid for 2 years; renewal applications must be submitted at least 45 days before expiry.
